The end-user license agreement for Klay, what the software does and does not collect, and the open-source components it is built on.
This end-user license agreement (“EULA”) provides you with a license to use Klay (the “Software”) and contains warranty information and liability disclaimers. By downloading and/or using the Software, you agree to be bound by the terms of this agreement. The Software is protected by copyright law and international copyright treaties, as well as other intellectual-property laws and treaties. The Software is licensed, not sold.
“Licensor” means the copyright owner of Klay, or an entity authorised by the copyright owner, that is granting this license.
“You” (or “Your”) means an individual or Legal Entity exercising the permissions granted by this license.
“Legal Entity” means any company, organisation, association or authority using the Software for commercial purposes, together with any entity that controls, is controlled by, or is under common control with it.
“License Key” means a valid key issued by the Licensor, bought in accordance with this EULA, that unlocks the paid features of the Software.
“Your Work” means everything you create with the Software: sculpts, meshes, paint, scenes, renders, stamps, materials, and the files that hold them.
This EULA is a legal agreement between You and the Klay development team. It governs your acquisition and use of the Klay software, whether you downloaded it for free, bought a License Key, or acquired it as a Legal Entity.
By installing or using the Software you confirm that you accept these terms. The terms also apply to any update, supplement or support service for the Software, unless other terms accompany those items on delivery.
The Licensor grants You a limited, non-exclusive, non-assignable, non-sublicensable, revocable license to use the Software in accordance with this EULA.
3.1 Free use. You may download, install and use the Software without a License Key, for as long as you like. There is no time limit on the free version. Exporting your work out of the Software in third-party formats is the feature that requires a License Key.
3.2 Paid licenses. An Artist License Key is a single payment tied to one machine and includes every update through version 1. A Studio License Key is a monthly subscription that can move between machines and includes every update while it runs. A Legal Entity needs one License Key per person using the Software.
3.3 Installation. You may install the Software on any supported operating system and make copies for backup. You are responsible for making sure your machine meets the minimum requirements.

Klay is in active development and is offered as pre-release software. By using it you acknowledge that:

The Software, including its code, design, graphics, logos, icons, brushes, stamps, materials and default assets that ship with it (“Licensor’s Content”), is owned by the Licensor and its licensors and is protected by copyright, trademark and other intellectual-property law.
You may not copy, modify, republish or distribute Licensor’s Content except as this EULA allows. The Klay name, logo and associated marks may not be used without prior written permission.
Assets that ship with the Software may be used freely inside Your Work, including commercial work.
6.1 Your Work is yours. The Licensor claims no ownership, license or rights of any kind over anything you create, import or export with the Software.
6.2 The Software processes Your Work locally, on your machine. Nothing you make is uploaded to any server operated by the Licensor.
6.3 You are solely responsible for keeping backups of Your Work. The Licensor is not responsible for any loss, corruption or damage to it.
The Software does not collect, transmit or store personal data, usage analytics, telemetry or crash reports.
7.1 License Keys are verified offline, on your device, with a public-key signature. No license information is sent to any server, and the Software does not need an internet connection to run or to check a key.
7.2 The Software does not check for updates or connect to the internet on its own. The only network action it takes is opening this website in your browser when you choose to buy a license.
7.3 When you buy a License Key, the purchase is handled by our payment provider (Stripe) under its own terms and privacy policy. The Licensor receives the email address and machine key needed to issue and deliver your key, and keeps them only for that purpose.
7.4 The Licensor does not sell, share or otherwise distribute user information to third parties.
Klay’s sculpting, rendering and painting code is original work. The application is built on the open-source components below, each subject to its own license. Full license texts ship in the Software’s installation directory.
The Software uses the Qt Framework under the GNU Lesser General Public License version 3. The Qt libraries are dynamically linked, which means:

The Software is intended for users aged 13 and older. By installing or using it you represent that you are at least 13 years of age.
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
Without limiting the foregoing, the Licensor makes no representation or warranty as to the Software or the content included in it, that the Software will function continuously, uninterrupted, securely or error-free, or as to the accuracy, reliability or currency of any information it provides.
To the maximum extent permitted by law, the Licensor is not liable for any damages arising from the use, inability to use, errors during use, or possession of the Software, including without limitation lost profits, business interruption, lost or corrupted data, or indirect, special, incidental or consequential damages, however arising, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the Licensor’s entire liability under any provision of this EULA is limited to the amount you actually paid for the Software.
This EULA is effective until terminated. The Licensor may change, suspend or discontinue any aspect of the Software at any time without prior notice or liability, and may terminate this EULA if you breach any of its terms. On termination you must stop using the Software and destroy all copies in your possession.
This EULA is governed by applicable law without regard to conflict-of-law principles, and any dispute arising from it is resolved under the applicable dispute-resolution procedures.
If any provision is found invalid or unenforceable, it is modified to the minimum extent necessary or severed, and the remaining provisions stay in full force.
This EULA is the entire agreement between You and the Licensor regarding the Software and supersedes all prior understandings, written or oral.
